Our consulting work ordinarily includes an examination, evaluation of our client’s Business Plan; a statement of the refinements needed; and the creation of a venture-specific Economic Model before commencing any work on preparing the SEC-compliant Investor-Centric private placement offering document (a “PPM”) that our clients can then use – with our assistance - to solicit the capital they require.

It's often, when reviewing a client’s Business Plan, that we find it needing significant
amounts of information that a prospective investor will be looking for before considering
making an investment. If this is the case, based upon our decades of experience in
crafting business plans, we’ll identify the information needed to make your offering
document as persuasive as possible.

We’ll be looking to help your Business Plan to include the following important information:

  1. The full range of goods and services you are looking to offer, and what may
    differentiate you from your competition;
  2. The identity, size, strengths and weaknesses of your current and projected
    competition;
  3. What you believe will be your market opportunities, both current and future;
  4. A phased timeline for the implementation of your venture;
  5. Your proposed:
    • Pricing, and likely pricing trends;
    • Marketing & promotional program;
    • Methods of distribution;
  6. Your regulatory environment’s challenges and opportunities;
  7. The experience, education and expertise of your management team (keeping in mind that sophisticated investors put more money on professional jockeys than on the horses they ride);
  8. The capital you will require to commence and support your venture until it
    becomes cash flow positive; and
  9.  And a set of economic projections for your venture, within a range of possible market and operating conditions, together with detailed assumptions underlying those projections.

Once we have created your PPM, we will be ready to assist in your capital raise by:

  1. Presenting it to individual prospective investors, family offices, firms specializing in providing investment capital, and to your own family, friends and acquaintances; and
  2. Helping to secure for you the capital that they have committed to provide.
